The Real Estate, Construction & Urban Planning Team at MOLITOR has been involved in many major real estate projects in Luxembourg in recent years.

It assists real estate investors, asset and property managers, developers and operators of commercial property business, owners (private individuals and corporate entities) of lands and properties as well as public authorities with leasing (commercial, office and residential), purchase and sale of land and real estate properties, construction matters, legal environmental requirements, urban development, administrative permits and licenses and joint ownership property.

The team drafts and negotiates contracts and required documentation related to all kinds of real estate transactions, performs due diligence and issues vendor and buyer reports, advises clients on all applicable laws and regulations and assists them at any stage of the litigation process if necessary.

Our services

Acquisition & sale of land & real estate properties (asset deal and share deal)

  • Advising buyers and sellers in every stage of the acquisition/sale process,
  • Performing real estate, construction and urban planning due diligence and drafting buyer/seller red flag reports
  • Drafting/reviewing and negotiating contracts with regard to sale/purchase of existing properties and net-yet built properties (compromis de vente, reservation contract, notarial deeds) and liaising with local notaries
  • Assisting our Corporate and M&A Team with the drafting and negotiating of share purchase agreements (notably declarations and warranties)
  • Assisting and representing clients with any disputes on the above-matters

Construction

  • Drafting/reviewing and negotiating construction service agreements, architect contracts and any other resulting contracts
  • Advising developers, builders, operators, contractors, lenders and owners of existing and not-yet-built real estate properties on any construction matters
  • Helping clients to apply for mandatory building permits and licenses (commodo-incommodo, business licence)
  • Liaising with local administrative authorities
  • Advising clients on environmental matters such as pollution and waste management
  • Assisting and representing clients with any disputes on the above-matters notably builders’ and developers’ liability

Property management / Joint ownership

  • Drafting/reviewing and negotiating lease agreements (commercial, office residential) and long-term leases
  • Drafting/reviewing and negotiating property management contracts
  • Advising landlords and tenants on issues arising from their contractual relationship
  • Advising clients on joint ownership and shared property matters
  • Assisting and representing clients with any disputes on the above-matters

Urban planning

  • Advising clients on applicable rules with regard to plan d’aménagement général, plan d’aménagement particulier, plan d’occupation des sols, etc.
  • Assisting clients with the setting-up of a plan d’aménagement particulier including drafting/reviewing and negotiating agreements with municipalities
  • Liaising with local administrative authorities
  • Assisting and representing clients with any disputes on the above-matters
