Matthieu is a partner in our Corporate and M&A practice. He has extensive experience advising clients on local and cross-border corporate matters, including mergers and acquisitions, joint ventures, corporate governance, and restructurings, with a particular focus on private capital clients.

He has a strong track record of acting for US and European private capital firms, including leading private equity and real estate sponsors, family offices, and institutional investors. His practice spans the full investment cycle—from structuring and managing Luxembourg investment platforms to advising on acquisitions and disposals, fundraisings, joint ventures, and management incentive plans.

Before joining Molitor in March 2025, Matthieu spent a decade at magic circle firms in Luxembourg and trained at leading Belgian and Benelux law firms.

His recent experience prior to joining our firm includes advising:

• Major US and European private capital houses on their indirect acquisitions, joint ventures, structuring, and incentive plans;
• A private equity sponsor on its acquisition of a majority stake in a Luxembourg-based tech company;
• The sellers of a private equity house on the disposal of a majority participation;
• Investors subscribing to bridge convertible instruments issued by start-ups;
• A gaming company on its Nasdaq IPO, subsequent takeover and delisting; and
• A financial institution on the implementation of a cashless warrant plan.
