P2B – Here they are: New EU rules imposing more transparency and fairness on online platforms and search engines

WHAT HAPPENED?

A new EU Regulation imposing transparency, fairness, predictability and trustfulness upon online platforms and search engines has just been adopted on 20 June 2019, waiting to make its appearance on the EU Official Journal.

WHY THE NEED FOR A NEW REGULATION?

Online intermediation services present an opportunity for businesses to expand their market scope and commercial prospects. They benefit consumers, who are exposed to a higher choice of goods and services. However, they also raise challenges, particularly the need to protect the interests of business users, who might find themselves in a position of dependence, especially medium- or small-sized companies.

The balance of power in the “P2B – Platform to Business” is ultimately comparable to that in the business to consumer relationships.

In particular, the following issues may arise:

  • Online engines and platform rankings can have a strong impact on consumer choices, and platform owners have the power to unilaterally harm (or favour) the business websites using them;
  • In some cases online intermediaries gain extraordinary power as all the market users concentrate on and only use the most popular platform, de facto excluding the competition, so that online platform behaviour might basically dictate the market success or failure of the undertakings using them;
  • Platforms are liable to occupy dominant positions – which makes it paramount to prevent them from any possible abuse from a competition law viewpoint.

The aim of the new Regulation is to grant businesses a more predictable relationship with online platforms and provide access to effective and swift means of redress.

Social elections on 12 March 2019: do they concern you?

The date of the social elections has been set for 12 March 2019 by ministerial decree of 3 December 2018[1]. As the posting of the notice of election within the company has to be done by 12 February 2019 at the latest, it is important to recall the principle governing the obligation to organize these social elections.

Any business, regardless of the nature of its activities, its legal form or its sector of activity, which has at least 15 employees between 1 February 2018 and 31 January 2019 (i.e. during the 12 months prior to the first day of the month of the posting which announces the social elections), must appoint staff delegates[2], the number of which depends on the number of employees in the company during that period.

Sind Sie von den Sozialwahlen am 12. März 2019 betroffen?

Durch Ministerialerlass vom 3. Dezember 2018[1] wurden die Sozialwahlen auf den 12. März 2019 fixiert. Jeder Betrieb, der zur Durchführung von Sozialwahlen verpflichtet ist, muss bis spätestens 12. Februar 2019 die Wahlmitteilung zur Information der Beschäftigten aushängen.

Die Verpflichtung Personalvertreter wählen zu lassen besteht für jedes Unternehmen, das zwischen dem 1. Februar 2018 und dem 31. Januar 2019 (d.h. während der letzten 12 Monate,  die dem ersten Tag des Monats, in dem die Wahlmitteilung ausgehängt werden muss, vorangehen) mindestens 15 Arbeitnehmer beschäftigt, unabhängig von seiner Geschäftstätigkeit, Rechtsform oder Wirtschaftszweig. Die Zahl der zu wählenden Personalvertreter hängt von der Zahl der in der genannten Periode beschäftigten Arbeitnehmer des Unternehmens ab.

Elections sociales du 12 mars 2019 : Êtes-vous concernés?

Par arrêté ministériel du 3 décembre 2018[1] la date des élections sociales a été fixée au 12 mars 2019. L’affichage de l’avis d’élection au sein de l’entreprise devant être effectué pour le 12 février 2019 au plus tard, il est important de rappeler le principe gouvernant l’obligation d’organiser ces élections sociales.

Toute entreprise, quels que soient la nature de ses activités, sa forme juridique et son secteur d’activité, qui aura occupé au moins 15 salariés entre le 1er février 2018 et le 31 janvier 2019 (soit pendant les 12 mois qui auront précédé le premier jour du mois de l’affichage annonçant les élections sociales), a l’obligation de faire désigner des délégués du personnel[2], le nombre de délégués à élire étant fonction du nombre de salariés occupés au sein de l’entreprise sur ladite période.
